This statement sets out the actions that Timetabling Solutions has taken to understand potential modern slavery risks related to our business supply chains and to implement steps to prevent modern slavery.

What is Modern Slavery?

Modern slavery refers to any situation of exploitation where a person cannot refuse or leave work because of threats, violence, coercion, abuse of power or deception.

The Australian regime defines modern slavery to incorporate conduct that would constitute an offence under existing human trafficking, slavery and slavery-like offence provisions set out in Divisions 270 and 271 of the Commonwealth Criminal Code. 1

Organisational Structure

Timetabling Solutions is 100% privately owned Australian company that develops and supports timetabling software used by schools to manage their academic program.

Timetabling Solutions employs 30-40 people.

In mid-2019, the Timetabling Solutions board was briefed on the emerging requirements of modern slavery. A working group was established to identify key risks, and requirements and oversee integration into existing compliance functions. In October 2019, the Timetabling Solutions board signed off on beginning stakeholder engagement on this issue, including delivering appropriate awareness training and incorporating requirements into existing procedures.

Our Policies and Procedures
We've always had formal policies in place that are intended to promote ethical and legally compliant business conduct.

We have a Code of Conduct (Code) that sets out the ground rules for the way we work. We place great importance on honesty, integrity, quality, and trust, and all our people, employees, contractors, directors and officers are expected to adhere to the behavioural standards set out in the Code. The Code sets out obligations to act morally and professionally, not break the law and be good corporate citizens.

Our head office is based in Geelong, Victoria, Australia and is responsible for the procurement of technology-related goods and services. All material procurement is done through written contracts and includes language requiring suppliers to act in accordance with all applicable laws, which now include laws relating to human trafficking and modern slavery.

We undertake due diligence when considering taking on new suppliers and review our existing suppliers on a periodic basis. Our due diligence and reviews include:

  • Mapping the supply chain broadly to assess particular product or geographical risks of modern slavery and human trafficking

  • Evaluating the modern slavery and human trafficking risks of each new supplier

  • Conducting supplier audits or assessments that have a greater degree of focus on slavery and human trafficking where general risks are identified

  • Invoking sanctions against suppliers that fail to improve their performance in line with an action plan or seriously violate our supplier code of conduct, including the termination of the business relationship

We have not found or been made aware of any allegations of human trafficking/slavery activities against any of our suppliers.

Future Commitments
Our future commitments will be:

  • Continuously reviewing and updating our suite of risk-related policies and governance control measures

  • Continuously reviewing and updating awareness training of our people and key suppliers

  • Reporting as set out under the Act

This statement has been approved by the Board of Directors of Timetabling Solutions.
